Twitter is not suing to force the purchase. It’s suing to enforce the penalty clause for pulling out. Musk has declared Twitter in material breach, which negates the purchase contract. Twitter is suing Musk for breach of the contract. The court can’t force Musk to perform on the contract, but it can enforce the penalty provision.
